have yet been taken under Article 4 of the new Order in Council so as to enable the negotiations for the transfer of the whole of thei Company's undertaking to the China Mutual Life Insurance Company Limited to be completed, as referred to in the letters from the companies to yourself of January 30th and 31st last.

I have the honour therefore to confirm, on further experience, the advice given in my despatch of 16th March last in this matter.

My reasons for thinking that any relaxation of the provisions of the new Order in Council would be inadvisable are as follows:-

1.

The transfer of all 'China' Companies heretofore under non-British control to British control has been practically completed.

2. As to the British-American Tobacco Co. (China) Ltd. the business of the Company will in future be controlled from Hong Kong where the Company and all members of the Head Office will be under British jurisdiction.

3. If licences allowing non-British management of China Companies were under any circumstance obtainable, a most invidious and difficult task would be set H. M. Minister, and the Registrar and also the Crown Advocate as his technical advisers in such

matters.

If such licences were obtainable, the force and effect of salutary provisions, the need of which has been felt for years, would be seriously weakened.

5. If any such licences were granted, good ground of com- plaint would be given to those American and Japanese who had here- tofore controlled China Companies and who have complied with the Order in Council and renounced the management of such Companies.
